Musk buys a big chunk of Twitter

    Fair enough, the proper way to state that would be the stock as it is priced would become worthless.

    The issue in using a company as collateral for a loan is what a bank can strip out of a company if they or you default on a loan. Twitter doesn't have the assets nor does it have a consistent income stream to enable an easy sale to a third party at a high value. Again, you go to a bank and say you want a loan for, and I am fudging the numbers to make this more attractive, an acquisition at 131x average net income over the last four years, you better have something very attractive to offer them. Especially when it is a loan of that size.

    Put it this way, there is a reason that Twitter's stock isn't climbing close to his stated acquisition price. That is because investors see the issues that I am discussing. If not, people would be trying to obtain stock in anticipation of getting paid a premium soon. Instead, their stock has lost value since he announced his plan on Thursday.

    What doesn't make sense to me is that Twitter has been searching for a buyer almost since day 1, now they get one and they don't want it?

    If somebody was really going to pay them that sort of premium in a cash sale, I'd imagine they would jump all over it. Their stock is already likely overvalued, they have never figured out how to make the company consistently profitable, and they are talking about a huge premium. But, this isn't a real buyer, it is somebody playing around with their stock price. Viewed from that lens, everything falls into place.

    Could shareholders sue the board for not taking Musk seriously? Don't they have a fiduciary responsibility to the shareholders? To get them as much as possible on a sale.
    Instead of poison pills shouldn't they be making a counter offer?

    No. If the board rejects a buy out offer and a shareholder doesn't like it, his options are to vote for new board members or sell his shares.

    Correct. I have friends and colleagues who are transgender. If I can't trust you to treat them with courtesy and kindness, I'm not going to be friends with you. Life is too short for me to be apologizing for you or for me to worry about bringing you around other friends of mine. I'm not going to end a friendship over a person disagreeing on transgender sport policies, but I certainly will over somebody who insists on being disrespectful and cruel.

    EDIT: Acknowledging someone who fathered multiple children as a man is not disrespectful or cruel, it is acknowledging a basic truth.

    Good job demonstrating exactly why I have zero interest in being friends with people who think and act the way you do. Instead of getting upset and defensive, be happy. It's better for everybody. I don't want that toxicity in my life, and I'm sure you don't want me in your life. Win-win.

    I don't hate you. I don't know you. I simply am repulsed by the way you think/act about certain issues and don't want to be friends. It costs me nothing to be courteous and kind to transgender people. It costs me nothing to refer to them the way they ask me to do so. Not doing so hurts them and can lead to harm.

    I don't want to spend my time around a person who is willing to hurt another one of my friends to make a political point. It's that simple.

    I don't want anybody to hurt themselves. That should go without saying.

    I also don't believe in altering society, the English language, to the point of pretending fiction is fact to preserve the feelings of a small minority of people. Even if 1% of the population proclaimed they would kill themselves if schools refused to teach that 2 + 2 = 5, we shouldn't teach 2 + 2 = 5, we should have doctors help that 1% of the population work through their clear psychiatric issues. And even if you don't believe the transgenderism or the gender dysphoria is a psychiatric issue (I believe it's an issue), the depression and the suicidal thoughts surely are. And those people should get help.

    Again, this should go without saying, I don't go through these motions 90% of the time with you because frankly, I shouldn't have to, and you always impute the worst motives on me.

    They are getting help. Gender-affirming care and living as their authentic selves are how many treat it. That's why being around people who insist on misgendering them and treating them poorly is harmful.

    You have every right to live your life the way you want. If you want to misgender and mistreat transgender people, you can do that. But as I've told you now multiple times, that's more than reason enough for me not to want to associate with you. If that makes me the bad guy, so be it.

    I can be (and am) friends with people who support your point of view on how we should handle transgenderism. We just don't talk about it.

    I think the way we make people have thicker skins is by training them not to worry so much about what others think of them. Coddling kids too much can have negative long-term consequences, coddling adults too much, and the effects are even worse. Train people to understand that words can't hurt them.

    How about transgender people? How many transgender friends do you have? How do you treat them?

    Except words can and do hurt people. I don't share your thinking. I don't want to "train" people to have "thicker skin."

    Because he's unpredictable and is an advocate for free speech. Musk essential wants to take a bulldozer to the liberal playground aka Twitter.

    The poison pill is a stall tactic.

    Do you think the richest man in the world just logged in to his e-trade account and said gee I think I'll buy Twitter today?

    Or is it more likely that Musk has a plan that included potential roadblocks like the poison pill?

    Doesn't seem more logical that Musk had a team of accountants, lawyers, advisors, etc figuring out every possible way to buy Twitter and potential problems that might arise during this process?

    Musk states he’s taking Tesla private at $420/share - never happened.

    Musk states he’s offering to buy Twitter at $54.20/share - not going to happen. Doesn’t have the borrowing room based on shareholder rules. He’d have to liquidate a significant portion of his Tesla shares and that’s very unlikely.
